1. Introduction and Acceptance

1.1 These Terms of Service ("Terms") are a legal agreement between you and Dez ("we," "our," or "us") governing your use of our website at dezcare.ai and any related sites (the "Website"), and the DezCareAI mobile application(s) and related services (the "App") (together, the "Services").

1.2 By accessing the Website, downloading or using the App, creating an account, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services. If you are using the Services on behalf of an organization or another person, you represent that you have authority to bind them to these Terms.

2. Description of the Services

2.1 Dez provides a care companion platform designed to support caregivers, loved ones, and extended family. Our Services may include:

  • Wellbeing tracking (vitals, sleep, exercise, hydration, notes, and related data)
  • Schedule management (calendar, appointments, medications)
  • Communication and coordination tools for care teams
  • Artificial intelligence and machine-learning features, including conversational interfaces (e.g. chatbot), adaptive or personalised interfaces, alerts, insights, reminders, and suggestions
  • Reminders, alerts, escalation workflows, and early-signal notifications
  • Website content, waitlist registration, blog, and product information

2.2 We may update, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to notify you of material changes where appropriate.

3. Accounts and Eligibility

3.1 To use certain features of the App, you may need to create an account. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.2 You must be at least 13 years of age (or the applicable age of consent in your jurisdiction) to use our Services. If you are under 18, you may need consent from a parent or guardian. By using the Services, you represent that you meet these requirements.

4. Acceptable Use

4.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable law, regulation, or third-party rights
  • Use the Services to harm, harass, or endanger any person
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Scrape, copy, or harvest data from the Services except as permitted by us
  • Use the Services to send spam or unsolicited communications
  • Upload or share content that is illegal, defamatory, or infringing

4.2 We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.

5. Content and Intellectual Property

5.1 Your content. You retain ownership of content you submit or upload through the Services ("User Content"). You grant us a non-exclusive, royalty-free, worldwide license to use, store, process, and display your User Content as necessary to provide and improve the Services, and as described in our Privacy Policy.

5.2 Campaigns and programs. If you participate in promotions, contests, or programs we operate (including without limitation the Caregiver Heroes program or similar initiatives), you grant us the right to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and otherwise exploit submissions (including names, stories, images, video, and other materials you provide) in connection with the program and our marketing and communications, in any media and for the duration we reasonably require for those purposes. You confirm you have all rights and consents needed for such use. We may review, approve, refuse, edit, or remove any submission or display at our discretion, including for legal, safety, or brand reasons.

5.3 Our content. The Services, including the Website and App, and all content, features, design, and software (excluding your User Content) are owned by Dez or our licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works from our content or software without our prior written consent.

6. Not Medical Advice; Information and Verification

6.1 The Services do not provide medical advice, diagnosis, or treatment, and nothing in the Services should be interpreted as medical advice, diagnosis, or treatment. Dez is not a healthcare provider. The Services are a care companion and coordination tool. Any information, reminders, notifications, summaries, or outputs (including those generated by automated or AI systems) are for general information, convenience, and support only.

6.2 You must not rely on the Services as a substitute for professional medical, nursing, mental health, or other clinical judgment. You should seek qualified professionals for diagnosis, treatment, and decisions about medications, procedures, emergencies, or any serious health condition.

6.3 You are responsible for verifying any information before you or anyone you care for acts on it. Health-related data, schedules, and insights may be incomplete or incorrect. You remain solely responsible for decisions regarding care, health, and safety.

6.4 To the maximum extent permitted by law, we are not liable for any loss or harm arising from reliance on the Services or any content provided through them in connection with care, health, or safety decisions.

7. Artificial Intelligence and Automated Features

7.1 The Services may use artificial intelligence, machine learning, rules engines, and similar technologies. These may power or assist features such as conversational assistants (e.g. chatbot), adaptive or personalised user interfaces, alerts, insights, suggestions, prioritisation, and summarisation.

7.2 AI-generated and automated outputs may be inaccurate, incomplete, misleading, or outdated. They may not reflect your full circumstances. Outputs should not be relied upon as the sole basis for any decision relating to health, safety, legal matters, or finances.

7.3 We do not warrant that AI or automated features will be error-free, uninterrupted, or suitable for any particular purpose. We do not guarantee any specific result from their use.

7.4 You acknowledge that AI systems have inherent limitations and may produce outputs that require human review. You agree to use judgment and, where appropriate, obtain professional advice instead of relying solely on automated outputs.

8. Notifications, Alerts, and Escalations

8.1 The Services may send notifications, alerts, reminders, or escalations (including based on rules you or an account administrator configure). Features may expect or invite responses or follow-up actions.

8.2 We do not guarantee that any notification will be delivered, delivered on time, read, or acted upon. Delivery may fail or be delayed due to device settings, network conditions, third-party services, Do Not Disturb modes, battery or power state, user error, or factors outside our control.

8.3 To the maximum extent permitted by law, we are not responsible for any consequences arising from missed, delayed, undelivered, or unacknowledged notifications, or from any failure by any person to act on them, including without limitation any injury, loss, or escalation of a care situation. You remain responsible for appropriate monitoring, clinical follow-up, and emergency care as your situation requires.

9. Care Roles and Primary Caregiver Responsibility

9.1 Where the App uses role-based access (including as described in our Privacy Policy), features may depend on how accounts and permissions are configured. The Primary Caregiver (PCG), as defined in the App, is responsible for onboarding users, assigning roles, configuring access, setting notification rules, and managing permissions within the App (except where the product expressly provides otherwise).

9.2 You agree that disputes, misuse, or harmful conduct between users relating to roles, visibility, or permissions are primarily matters between those users, and you will not hold us liable for such matters except where required by applicable law and where we have failed to meet our express obligations under these Terms.

9.3 If you are not the PCG, you acknowledge that your access may be limited or controlled by the PCG or applicable account settings.

10. Limitation of Liability

10.1 The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10.2 We do not warrant that the Services will be accurate, complete, reliable, current, error-free, or free of harmful components. We do not guarantee any particular care outcome, health outcome, or result from use of the Services.

10.3 To the maximum extent permitted by applicable law, Dez and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, or for any personal injury or health-related outcome, arising out of or in connection with your use of the Services or reliance on any information or output from the Services, even if we have been advised of the possibility of such damages.

10.4 Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months preceding the claim, or (b) one hundred Singapore dollars (SGD 100).

10.5 Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties; in such jurisdictions, our liability and disclaimers will be limited to the fullest extent permitted by law.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless Dez and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your User Content, (c) your violation of these Terms or applicable law, or (d) any harm to third parties resulting from your use of the Services.

12. Termination

12.1 You may stop using the Services at any time. We may suspend or terminate your access to the Services, or delete your account, with or without notice, for any reason, including breach of these Terms.

12.2 Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.

13. Governing Law and Disputes

13.1 These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Changes to the Terms

14.1 We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last Updated" date. For material changes, we may also notify you by email or through the App where appropriate.

14.2 Your continued use of the Website or App after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

15. General

15.1 Entire agreement. These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and Dez regarding the Services.

15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

15.3 No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
